1. Service Description
The Memo is a digital subscription service operated by Bernstein Holding UG (haftungsbeschränkt), Eschenlohmühle 2, 86862 Lamerdingen, Germany. Content and related features may be made available through email, applications, websites, downloadable documents, or other delivery channels.
The Memo — Founding Edition is offered to 200 founding members at €60 per month, reduced from €300 per month.
The Founding Edition publishes Monday–Saturday and includes the Intelligence Briefing, Operational Calendar, Global Conflict Monitor, Weekend Edition, Memo Agent, and three Company Intelligence briefings. The availability, delivery channel, and scope of an individual feature may depend on the nature of the request, technical availability, capacity, and any feature-specific information presented when the feature is used.
2. Subscription and Payment
The selected plan, price, billing interval, applicable tax, payment method, trial terms, and payment provider are displayed at checkout and form part of the subscription agreement. Payments made through our website are currently processed by Stripe. A monthly subscription renews monthly. An annual Executive subscription is charged for the year in advance and renews annually. Recurring subscriptions continue until cancelled.
You may cancel a recurring subscription at any time through the subscription-management link. Cancellation takes effect at the end of the current paid billing period unless mandatory law requires otherwise. Refunds and the effects of cancellation are governed by the applicable offer terms and mandatory law. Participation in referral discounts is additionally governed by the Referral Program Terms.
3. Digital Content and Right of Withdrawal
The Memo is a digital subscription service. Where applicable consumer withdrawal rights exist, these may expire once digital content delivery has begun, provided you have expressly consented to immediate performance and acknowledged the loss of the withdrawal right in accordance with applicable law.
4. Feature Terms and Fair Use
Agent Conversations and intelligence features may use automated research and generation tools. Their output may contain errors and must be independently checked before it is relied upon. Concierge and intelligence requests are request-based services subject to reasonable scope, available capacity, sufficient information, and appropriate review. They do not guarantee a particular result, recommendation, reservation, transaction, or research conclusion.
PDF Export is licensed for the subscriber’s own professional use and does not permit redistribution. Private Experiences are subject to availability, capacity, eligibility, and any event-specific information communicated with an invitation or registration.
Executive features are for reasonable individual use. Automated, bulk, abusive, repetitive, unlawful, or account-sharing use is not permitted. We may apply proportionate technical limits, request clarification, reject requests outside the service’s reasonable scope, or temporarily restrict a feature where necessary to protect service quality, security, other subscribers, or third-party rights. Where a request allowance or other feature-specific limit applies, it will be stated before the relevant request is made.
5. Intellectual Property
Unless otherwise indicated, content and materials created by The Memo — including editorial content, analysis, commentary, documents, formatting, and editorial selection — are the intellectual property of Bernstein Holding UG. Third-party content, data, and other materials remain subject to the rights and licences of their respective owners.
6. Prohibited Use
Except to the extent expressly allowed by the applicable offer, licence, or a separate agreement, subscribers may not:
a) Redistribute, forward, publish, or share subscription content with any third party, whether in original or modified form.
b) Use subscription content as input, training data, or reference material for any artificial intelligence model, large language model, machine learning system, or automated content generation tool.
c) Reproduce, replicate, or create derivative works that mimic the structure, format, editorial approach, or content selection methodology of The Memo.
d) Scrape, systematically download, or programmatically extract subscription content or service materials.
e) Use subscription content for any commercial purpose beyond personal professional reference.
7. Licence
Unless the applicable offer or a separate agreement provides otherwise, your subscription grants you a personal, non-transferable, non-exclusive licence to access and use the content and features included in your subscription for your own professional use. This licence does not include any right to reproduce, distribute, or create derivative works.
8. Watermarking and Tracking
Subscription content may be individually watermarked or otherwise marked so that it can be traced to the subscriber to whom it was made available. Breach of these terms may be detected through these measures.
9. Enforcement
Violation of these terms may result in immediate termination of your subscription without refund. We reserve the right to pursue legal remedies for any breach, including claims for damages and injunctive relief.
10. Disclaimer
The Memo is provided for informational purposes only. It does not constitute investment advice, legal advice, tax advice, or any other form of professional counsel. We make no guarantees regarding the accuracy, completeness, or timeliness of the information provided. Content may be prepared with the assistance of AI-based research and editorial tools.
11. AI-Assisted Preparation
The Memo may use artificial intelligence and automated research tools in the preparation of some content. We apply editorial and quality-control measures appropriate to the relevant content and delivery format. These processes do not eliminate the possibility of error.

13. Governing Law
These terms are governed by the laws of the Federal Republic of Germany. The courts of Kempten (Allgäu) shall have exclusive jurisdiction for any disputes arising from these terms.
14. Changes to Terms
We may update these terms from time to time. Continued use of the service after changes constitutes acceptance of the updated terms.
